These terms cover two things: your use of this website, and the basis on which MagVanta quotes and sells material. Any order is also subject to MagVanta's written quotation and order acknowledgement, which take precedence over this page where they differ.
Part one: using this website
Information is for general guidance
The technical information on this site, including specifications, typical values, application notes and classification references, is published for general guidance to a technical audience. Typical values are not a specification and are not a certificate. The controlling document for any grade is the current MagVanta technical data sheet, and the controlling document for any lot is the MagVanta certificate of analysis issued for that lot.
You are responsible for suitability
Deciding whether a material is suitable for your process, your product and your regulatory position is your responsibility. We will give you the specification and discuss the application, and we encourage trial quantities before a volume commitment, but we do not know your system, and nothing on this site is a recommendation for a particular use.
No professional advice
Nothing on this site is medical, nutritional, safety, legal or regulatory advice. We make no health claim for any material we supply. Responsibility for a finished product, including its formulation, labelling and regulatory status, rests with the party that makes it.
Intellectual property
The content, design and marks on this site belong to MagVanta Minerals LLC or are used with permission. You may view, download and print pages for the purpose of evaluating or purchasing our products. Any other reproduction or commercial use requires our written permission.
Availability
We aim to keep this site available and accurate, and we correct errors when we find them. We do not undertake that the site will be uninterrupted or free of error.
Part two: quotations and sale
Pricing and quotations
Prices are not published on this site. Prices are quoted in writing for a stated grade, volume, packaging and delivery point, in United States dollars, and are valid for the period stated on the quotation. A quotation is an invitation to order, not an offer capable of acceptance, until we acknowledge your order in writing.
Specification and documentation
Material is sold against the MagVanta specification for the grade. Each shipment is accompanied by a MagVanta certificate of analysis for the lot supplied, a technical data sheet and a safety data sheet.
Claims
Any claim that material does not conform to specification must be notified to us in writing promptly after discovery and within the period stated in our order acknowledgement, with the lot number and supporting test data, and before the material is processed or resold. Our remedy for non-conforming material is replacement of the material or a credit of the purchase price for it, at our option.
Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or in connection with any material supplied is limited to the purchase price of that material, and we are not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of production or the cost of recall.
Payment
Payment, credit approval and the currency of invoice are set out in the quotation and confirmed in the order acknowledgement for each order.
Import and title
MagVanta acts as importer of record for the material it sells and carries the associated customs, duty and tariff exposure. Delivery terms, transfer of title and transfer of risk are as stated in the order acknowledgement.
Export and end use
You agree not to export, re-export or divert material in breach of United States export control or sanctions law, and to comply with all laws applicable to your use of the material.
Governing law
These terms and any sale are governed by the laws of the State of Massachusetts and the United States, without regard to conflict of law rules. The state and federal courts serving that location have exclusive jurisdiction, and the United Nations Convention on Contracts for the International Sale of Goods does not apply.
Changes
We may update these terms. The version in force for an order is the version published when we acknowledge that order.
